How to speed up company deeds?

How to process public deeds of a company quickly?

The first thing to ensure a quick procedure is to have all the documentation complete and correct. One of the most common mistakes when processing company deeds is the late or incomplete delivery of documentation. Telematic deeds for different types of companies

In the Spanish legal system, all companies with a corporate form (that is, those that have their own legal personality and are registered in the Commercial Registry) must grant public deeds before a Notary for certain acts. These are the main types of companies:

  1. Limited Liability
  2. Public Limited Companies
  3. Limited Partnerships
  4. Cooperatives

On the other hand, there are companies that are not obliged to grant deeds, such as self-employed individuals, communities of assets or civil partnerships.

For those that are, since the publication of Law 11/2023, it is permitted to carry out many commercial acts by videoconference and electronic signature, without travelling. This is especially useful for companies with offices in different cities, frequent changes in their structure, due to the need to act quickly, and for organisation and accumulation of documentation, since with the digital deed the loss of deeds and the accumulation of paper is avoided.

The incorporation of companies and capital increases can be processed electronically in a swift and secure manner, provided they do not include non-cash contributions, such as real estate, vehicles, computers or other physical assets. This digital procedure significantly simplifies the process, reducing time and travel, and is especially recommended for transactions with exclusively cash contributions.

What are the steps to process a public deed of a company electronically?

To process one, it is as easy as following these steps:

  1. Have a valid digital certificate and access to the Citizen's Notarial Portal.
  2. Contact the notary and indicate the act to be formalised.
  3. Send the documentation related to the deed. Although you can obtain it in each of our commercial services, we will offer you this information when you contact us.
  4. The Notary will review the information, prepare the draft and send it for review.
  5. A date and time for the videoconference is agreed upon.
  6. The parties appear on the Citizen's Notarial Portal on the agreed day.
  7. The Notary identifies themselves, reads the deed and clarifies doubts, as if it were an in-person act.
  8. The document is signed digitally using a certificate.
  9. The Notary authorises the deed.
  10. The authorised copy is delivered with a secure verification code (CSV) so that it can be registered in the Mercantile Registry.
