Choose a name for the company name

The name of a company must be made up of letters of the alphabet and if there are numbers, they must be in Arabic numerals or Roman numerals. Alongside them, the chosen type of company must also appear.

It is not permitted to include expressions, insults, derogatory or offensive expressions, nor the use of adjectives such as municipal or state.

It is also not allowed to use names of existing companies by changing the order of the words, adding them at the beginning or the end, or using words and letters that have phonetic similarity.

What is the subjective name of a company?

In the case of adopting the name of a person (subjective denomination), they must consent to it, unless they are a partner of the company. In the event that they cease or stop being part of the company, they may not demand the removal of the name.

What is the Objective Denomination of a company?

By this we understand the names that are related to the social activity or that have no relation at all. If it is related to an activity, a name that denotes an activity unrelated to the corporate purpose cannot be assigned.

Change of company name in the Register

Once the name has been chosen, you must submit your application to the Central Mercantile Registry, where it will be analysed to see if your name matches any others. You may propose up to five names for the change of company name. This is a task you can carry out yourself or through your trusted notary.

The Central Mercantile Registrar will issue a certificate within three days, stating that the name does not appear on the register. The Registry will reserve your name for 6 months until the deed of change of company name is registered. However, if it has not been submitted within that period, the reserved name will expire.

This certificate must be presented at the notary to grant the deed of change of name, which must then be registered with the Mercantile Registry.

The price of notarial acts is regulated by the Government and complies with the regulatory legislation of the NOTARIAL FEE SCHEDULE (RD 1426/1989, of 17 November, which regulates the Notaries' Fee Schedule).

The 036 form from the Agencia Tributaria corresponds to the census declaration regulations for registration, modification, and deregistration, as well as the simplified census declaration used by entrepreneurs and professionals to start, modify, or deregister their economic activities. The declaration of the modification of the company name must be submitted within one month from the day following the modification. Failure to submit it may result in penalties.


We have already indicated that, in the proposed company name, the Central Mercantile Registry reserves the accepted name for 6 months. However, it should be noted that the regulations only allow 3 months for the granting of the company name, as the validity of the certificate starts to count from its issuance and lasts for that period of time.
