Change of Company Name
Company name changes require going to a notary to sign the deed of change of company name. This signature can currently be done by attending our notary office in Avenida Digital in Barcelona in person or completely digitally, without travel and from anywhere in Spain, through the Citizen's Notarial Portal.
As Notaries in Barcelona specialised in commercial services, we want to explain what a company name change is and how it is carried out step by step, as well as provide additional information about the process to be followed.
What is the change of company name?
The change of company name is the modification of the name used by a company and this change requires compliance with the rules established in the Revised Text of the Capital Companies Act.
The Capital Companies Act states that the name must be unique and different from other companies. This name will appear on all legal, bureaucratic documents or invoices.
The change of company name, along with the change of registered office and corporate purpose, are among the most significant modifications of a company and imply the need for amendment of the articles of association.
To achieve this, a deed of company name change must be processed, a notarial document through which the legal name of a company is modified. After that, the deed must be registered in the Commercial Registry. At JLA Notarios, as we offer a comprehensive service in company matters, if you wish, in addition to processing the deed, we can take care of the registration in the Registry.
Reasons to change the name of a company
The change of company name is due to the change of name of a company and usually responds to strategic reasons, adaptation of the name to new fashions or tastes, or to seek international expansion, although the law does not require a specific reason for the change of name of a company. What the law requires is that the agreement to change the name complies with the capital companies law and that it is recorded in a public deed.
Steps for changing the company name How to change the name of a company?
We explain the entire process step by step for the change of company name.
If you wish to change the company name of a business, the first step will be to choose the name, which must comply with the rules of articles 395 to 419RRM. Here are some guidelines to help you:
Choose a name for the company name
The name of a company must be made up of letters of the alphabet and if there are numbers, they must be in Arabic numerals or Roman numerals. Alongside them, the chosen type of company must also appear.
It is not permitted to include expressions, insults, derogatory or offensive expressions, nor the use of adjectives such as municipal or state.
It is also not allowed to use names of existing companies by changing the order of the words, adding them at the beginning or the end, or using words and letters that have phonetic similarity.
What is the subjective name of a company?
In the case of adopting the name of a person (subjective denomination), they must consent to it, unless they are a partner of the company. In the event that they cease or stop being part of the company, they may not demand the removal of the name.
What is the Objective Denomination of a company?
By this we understand the names that are related to the social activity or that have no relation at all. If it is related to an activity, a name that denotes an activity unrelated to the corporate purpose cannot be assigned.
Change of company name in the Register
Once the name has been chosen, you must submit your application to the Central Mercantile Registry, where it will be analysed to see if your name matches any others. You may propose up to five names for the change of company name. This is a task you can carry out yourself or through your trusted notary.
The Central Mercantile Registrar will issue a certificate within three days, stating that the name does not appear on the register. The Registry will reserve your name for 6 months until the deed of change of company name is registered. However, if it has not been submitted within that period, the reserved name will expire.
This certificate must be presented at the notary to grant the deed of change of name, which must then be registered with the Mercantile Registry.
The deed of change of company name can be processed online or at a notary's office
The role of the Notary in the change of company name
The Notary is a public official and legal professional who guarantees compliance with the law and the protection of all parties signing a deed.
In the case of changes to company names, the Notary will verify that the name change meets all legal requirements. After this, the deed of change of company name can be signed at the notary’s office, with clients able to choose between signing in person or signing entirely digitally.
Furthermore, at JLA Notarios we offer a comprehensive service to companies and corporations, so if you wish, we can handle the registration with the Commercial Registry on your behalf.
Documents required for the change of company name
The following will be essential:
- Valid identification document of the representative signing the deed
- Certification of the corporate resolution deciding to change the name
- Documentation of the company and the representative, which can be replaced by obtaining commercial information from the notary's office
- Negative name certification issued by the Central Mercantile Registry. At JLA Notarios we can help you obtain this certificate.
How much does it cost to change the name of a company?
The price of notarial acts is regulated by the Government and complies with the regulatory legislation of the NOTARIAL FEE SCHEDULE (RD 1426/1989, of 17 November, which regulates the Notaries' Fee Schedule).
However, the exact price of a notarial document cannot be calculated until its specific content is known. The number of copies requested of a document, the pages it contains, as well as possible changes or additions, may slightly vary the final price.

Frequently asked questions related to the change of company name
The 036 form from the Agencia Tributaria corresponds to the census declaration regulations for registration, modification, and deregistration, as well as the simplified census declaration used by entrepreneurs and professionals to start, modify, or deregister their economic activities. The declaration of the modification of the company name must be submitted within one month from the day following the modification. Failure to submit it may result in penalties.
We have already indicated that, in the proposed company name, the Central Mercantile Registry reserves the accepted name for 6 months. However, it should be noted that the regulations only allow 3 months for the granting of the company name, as the validity of the certificate starts to count from its issuance and lasts for that period of time.
There are many occasions when this doubt arises. We have already talked about the company name that aims to identify a legal entity or a company in legal documents. However, the trade name is the word by which it wants to be known. Often it is the same name with the initials Ltd or Plc removed, and on other occasions we find a completely different name.
